Huge news for Saskatchewan explorer and developer Fission Uranium (FCU.TSX) Monday.

CGN Mining Company Ltd., an affiliate of China General Nuclear Power Corporation, has entered into a binding letter of intent to acquire 19.99% of Fission for $82.226 million at a price of $0.85 per subscription share.

The CGN deal is at a roughly 26% premium to Friday’s FCU close of 68 cents. Fission traded as low as 53 cents as recently as Dec. 4.

Fission and CGN have also agreed to “proceed towards entering into an offtake agreement.” No details on the potential offtake agreement were provided.

Fission shares resumed trading at 7 a.m. PST Monday and shot up to 77 cents before settling back to the 71-cent level as investors lost their enthusiasm.

The Fission news generated a lot of buzz at CEO Chat, coming as it did at the tail end of a year that saw a growing uranium resource at Patterson Lake South and positive PEA (at US$65/lb uranium), but also a failed merger with Denison and a retail shareholder revolt that fizzled.

@vonox weighed in with criticism of outspoken Fission CEO Dev Randhawa: "This is the end of the line for FCU, it will never trade above 85 cents again. Company has been sold, 2nd time for a pittance. 1st time should have been enough to boot this CEO, what a joke."

But Eric Coffin (@HRA-Coffin) described it as a "good deal given the market backdrop."

"Fractional ownership at either the corporate or project level is common in the Athabasca," he said. "I doubt the Chinese care if they get "control" as long as they get the off take. Hopefully the terms are decent on that end. Simple truth is no one is going to get the sort of deals many on this board fantasize about until the overhang in the #uranium markets ends and utilities and reactor builders start to really worry about getting long term deliveries again. At that point its easier to sell fractional interests for equity or capex underwriting that exceeds the ownership fraction as has happened with several past mine buildouts in the basin."

@90bigpicture stated the deal, while positive for Fission, places a ceiling on the stock. "For the Chinese this means PLS is there for them in 10-15 yrs when they need more uranium supply to feed their fleet of reactors, very logical given their 0% Wacc (weighted average cost of capital). But from a public FCU perspective, it means if uranium prices don't spike materially for a few quarters there is no material upside because unless an extremely high premium takeover bid comes (for a company that has run a failed auction process already and settled for Denison) ... the asset is just going to sit there and wait."

The signing deadline is January 11, 2016. There is a $3-million break fee to the non-defaulting party. CGN will pay the break fee to Fission if it has not received shareholder and HKSE approval by Feb. 29, 2016.

CGN will have the right to nominate two of nine representatives to the board of Fission.

CGN to Invest CDN$82M at $0.85 in Fission Uranium

KELOWNA, BRITISH COLUMBIA--(Marketwired - Dec. 21, 2015) - FISSION URANIUM CORP. ("Fission" or the "Company") (TSX:FCU)(OTCQX:FCUUF)(FRANKFURT:2FU) today announced that it has entered into a binding letter of intent ("LOI") with CGN Mining Company Limited ("CGN Mining"). Pursuant to the agreement, Fission and CGN Mining have agreed to proceed towards a CDN$82,226,059 private placement (the "Offering") in which CGN Mining would make a strategic investment in Fission which will result in CGN Mining owning approximately 96,736,540 common shares of the Company plus an additional number of common shares equal to 19.99% of the number of common shares issued by Fission prior to the closing of the Offering pursuant to the exercise of outstanding convertible securities of the Company (the "Subscription Shares"). The Subscription Shares will be issued pursuant to a subscription agreement between Fission and CGN Mining (the "Subscription Agreement") at a price of CDN$0.85 per Subscription Share on a private placement basis. The Subscription Shares may not be traded for a period of four months plus one day from the closing of the Offering.

Fission and CGN Mining have also agreed to proceed towards entering into an offtake agreement pursuant to which CGN Mining will agree to purchase uranium production from the Company's PLS Property (the "Offtake Agreement"). The Offtake Agreement and the Subscription Agreement, are referred to as the "Transaction Agreements".

The LOI provides that Fission and CGN Mining intend to enter into the Transaction Agreements on or prior to 2pm Pacific time, January 11, 2015 (the "Signing Deadline"). If either party is willing and able to enter into the Transaction Agreements and the other party is not able to or will not enter into the Transaction Agreements by the Signing Deadline, the defaulting party will pay a break fee in the amount of CDN$3,000,000 ("Break Fee") to the non-defaulting party. The LOI further provides that the Break Fee will be payable by CGN Mining to Fission in the event that CGN Mining shareholder approval, Hong Kong Stock Exchange approval or the approval of the Chinese government is not obtained by February 29, 2016, Pacific time.

Upon closing of the Offering, CGN Mining will have the right to nominate two of nine representatives to the Board of Fission.

The Offering is scheduled to close on or about January 29, 2016, Pacific time, and is subject to signing of the Transaction Agreements, the achievement of certain conditions to closing, and regulatory approvals, including the approval of the Toronto Stock Exchange, the Hong Kong Stock Exchange and approval of the Chinese government.
