The number of Directors was established at 5.

The shareholders of the Company also overwhelmingly passed the following resolutions at the meeting:

a)     

Appointment of Manning Elliott LLP, Chartered Accountants, as auditors of the Corporation for the ensuing year; and                                                                                                                                      

b)     

Corporation amended and restated 10% rolling stock options plan.

The Company announces that it has granted stock options to employees, for the purchase of up to 250,000 common shares, exercisable for a period of five years at a price of 1.44 per share.
