TORONTO, ON / ACCESSWIRE / May 16, 2023 / Gratomic Inc. ("Gratomic", "GRAT" or the "Company") (TSX-V:GRAT) (OTCQX:CBULF) (Frankfurt:CB82) announces that it has completed the fourth tranche of its non-brokered private placement offering of up to 20,000,000 working capital units ("WC Units") at a price of $0.30 per WC Unit for gross proceeds of up to $6 million (the "Offering") with the placement of 1,420,000 WC Units for proceeds of $426,000. The Company has raised $3,476,980.50 to date.

Each WC Unit consists of one (1) Common Share and one (1) Common Share purchase warrant (a "WC Warrant"). Each WC Warrant entitles the holder to purchase one (1) Common Share (a "WC Warrant Share") at a price of $0.45 per WC Warrant Share until May 15, 2025.

The securities issued on this closing of the Offering are subject to a hold period expiring on September 16, 2023. Final closing of the remainder of the Offering is expected on or before May 26, 2023.

Proceeds from the Offering will be used for general working capital and for operating capital for the Company's Aukam Project.

One insider subscribed for 66,666 WC Units for proceeds of $20,000 on the fourth closing of the Offering. The insider private placement is exempt from the valuation and minority shareholder approval requirements of Multilateral Instrument 61-101 ("MI 61-101") by virtue of the exemptions contained in sections 5.5(a) and 5.7(1) (a) of MI 61-101 in that the fair market value of the consideration for the securities of the Company issued to the insider does not exceed 25% of its market capitalization.
