("TSO3" or the "Company") (TSX: TOS) is pleased to announce that its shareholders have approved the previously-announced statutory plan of arrangement under the Business Corporations Act (Québec) pursuant to which a wholly-owned subsidiary of Stryker Corporation will acquire all of the issued and outstanding common shares of the Company for CAD$0.43 per share in cash (the "Arrangement").

At the special meeting of shareholders of TSO3 held earlier today, the Arrangement was approved by 75.24% of the votes cast by TSO3 shareholders present in person or represented by proxy at the meeting.

The completion of the Arrangement remains subject to the satisfaction or waiver of customary closing conditions and the final approval of the Superior Court of Québec. The hearing in respect of the final order approving the Arrangement is scheduled to take place on September 26, 2019.
